Terms and conditions
Clear agreements, before we make anything.
These terms apply to every order placed with INICI BV, Kapellei 31, 2980 Zoersel, enterprise number 0667.947.938, VAT BE 0667.947.938, RPR Antwerpen, afdeling Antwerpen, reachable at nick@inici.be. Part A applies to consumers, part B to businesses and professional customers. Part C is the model withdrawal form.

Part A. Consumers
You are a consumer when you order for private use, not for your trade or business. These terms follow the Belgian Code of Economic Law. If you live in the Netherlands, you also keep the mandatory protection of Dutch consumer law.
01Scope
These terms apply to every order you place with us: through the website, by email or telephone, in the showroom or during a visit at your home. We ask you to accept them when you order; you can save or print them at any time.
Deviations apply only when we confirm them in writing. Should a clause be void, the other clauses remain in force and we replace it with a valid clause of the same intent.
02Offer, quotations and prices
Our prices are in euro and include VAT. Delivery costs and any assembly costs are stated separately, before you order. Fluffy follows the maker's published price list for the Benelux; every other piece is quoted for your room.
A quotation is valid for 30 days unless it states another period. Obvious errors in prices or descriptions do not bind us; we let you know as soon as we notice them.
The photographs on the site are the maker's. Colours and textures of fabric and leather can differ on a screen from the real swatch. Always decide on a real swatch; we bring them to the appointment or send them to you.
03How an order is concluded
When you order online, the contract exists once you confirm the order with an obligation to pay and we confirm it in writing. When you order on the basis of a quotation, the contract exists once you sign the quotation or accept it by email and we confirm the order.
When you order during a visit at your home, you receive a copy of the contract and of these terms on paper or by email. Such an order carries the right of withdrawal of article 7.
We may refuse an order or make it conditional on a deposit, for example for a delivery address outside Belgium and the Netherlands or after an unpaid previous order. We let you know within 5 working days.
Check your order confirmation right away: composition, dimensions, cover, foot and delivery address. Report a mistake within 2 working days; after that the order goes to the maker.
04Made to order
Almost every piece of the collection is made for you: you choose the composition, the elements, the cover, the colour and the foot, and only then does the maker start production. Such a piece is made to your specifications. There is no right of withdrawal for it (article VI.53, 3° of the Code of Economic Law) and it cannot be changed or cancelled once production has started, except as set out in article 9.
The order confirmation states which pieces are made to order. Standard pieces without a choice of size or cover, such as a rug in a fixed size or a cushion from stock, are not made to order; the right of withdrawal does apply to them.
05Payment
At the order we ask a deposit of 40% of the total price. You pay the balance before delivery, once we confirm the delivery date. Production starts only after we receive the deposit.
You can pay by bank transfer, by card in the showroom or through the payment methods we offer online. We charge nothing for a payment method. Cash payments are possible up to 3,000 euro per order, as the law prescribes.
If you pay late, we first send a free reminder. Only 14 calendar days after that may we charge the statutory interest and a fixed compensation, within the limits of Book XIX of the Code of Economic Law. If we fail to meet a payment obligation towards you, for instance a refund, the same applies in your favour.
06Delivery
Pieces made to order usually take 8 to 12 weeks from the confirmation and the receipt of the deposit. The period on your confirmation is indicative unless we expressly state it as binding. We keep you informed as soon as the maker gives a dispatch date.
If we have not delivered within 30 days after the agreed period, you can give us a further reasonable period in writing. If we still do not deliver, you can terminate the order and we refund everything you paid within 14 days.
We deliver to your home in Belgium and the Netherlands, at the rate on the quotation, into the room of your choice where the access allows it. You provide a reachable address and a clear passage; measure doors, stairs and lifts in advance or ask us for the dimensions of the packed pieces. Collection in Westmalle is possible by appointment.
The risk passes to you as soon as you, or someone you appoint, take delivery of the pieces. Check them on delivery and note visible damage on the delivery note. Report damage or a mistake in the delivery to us as soon as possible, preferably with photographs, so we can take it up with the carrier and the maker at once.
If we cannot deliver on the agreed day because the address is not reachable or nobody is present, we agree a new date. We may charge the cost of a second delivery and of storage beyond 30 days.
07Right of withdrawal
When you order at a distance (website, email, telephone) or during a visit at your home, you have 14 calendar days to withdraw from your order without giving a reason. The period starts on the day after delivery. This right does not apply to pieces made to order (article 4) or to purchases in the showroom.
You withdraw with an unambiguous statement, by email to nick@inici.be or with the form in part C. Return or hand over the pieces within 14 days of your statement, in the condition you received them. You may inspect and try them as you would in a shop; we may deduct a loss of value caused by use beyond that.
The cost of returning is yours. Large pieces cannot be posted: we collect them at cost, estimated at 150 to 350 euro in Belgium and the Netherlands depending on distance and size, or you bring them to Westmalle yourself.
We refund everything you paid, including the standard delivery costs, within 14 days of your withdrawal and with the same means of payment. We may wait until we have the pieces back or until you prove that you have sent them.
08Legal guarantee
New pieces carry the legal guarantee of 2 years from delivery (articles 1649bis and following of the old Belgian Civil Code). A defect that appears within those 2 years is presumed to have existed at delivery, unless that presumption is incompatible with the nature of the piece or of the defect. For second-life pieces, which have already lived once, we agree a guarantee period of 1 year.
Report a defect as soon as possible, with a description and photographs. We repair or replace first, free of charge and within a reasonable time; if that fails or takes too long, you are entitled to an appropriate price reduction or to termination of the sale. We are your point of contact even though designwerk makes the pieces; the recourse against the maker is ours to arrange.
The following are not defects: normal wear, folds and waves in soft upholstery that belong to the model, the natural grain and colour variation of leather and wood, colour differences between swatch and delivery within the maker's tolerances, and damage from improper use, improper care or alterations after delivery. You receive the maker's care instructions with the delivery.
If the maker gives a separate commercial guarantee, you receive it in writing and it comes on top of the legal guarantee.
09Cancellation outside the right of withdrawal
If you want to cancel an order that no longer carries a right of withdrawal, let us know at once. As long as production has not started, we cancel free of charge. After that we may charge the costs already incurred, with a compensation of at most 20% of the price for those costs and the lost margin. We deduct it from the deposit and refund the rest.
If we cancel an order without a valid reason, you are entitled to the same compensation of 20% of the price, on top of the refund of what you paid.
10Liability
We are liable under the law for the pieces we sell and for the performance of the contract. We do not limit our liability where the law forbids it, such as for intent, personal injury or product liability.
For other damage our liability is limited to the price of the order, as far as the law allows that limitation. We advise on dimensions, colours and combinations to the best of our ability; the choice and the measuring of your space remain your responsibility, unless we expressly take the measuring upon us.
11Force majeure
In case of force majeure, such as a production stop at the maker, a shortage of a fabric, a transport strike or government measures, we may suspend delivery for its duration. We notify you and give a new period. If the force majeure lasts longer than 3 months, both you and we may terminate the order; we then refund everything you paid.
12Privacy
What we do with your data is set out in our privacy notice. It forms part of these terms.
13Complaints, applicable law and disputes
Discuss a complaint with us first: email nick@inici.be with your order number. We reply within 10 working days with a proposal.
If we cannot resolve it together, you can turn to the Consumer Mediation Service (Consumentenombudsdienst), the Belgian body for the out-of-court settlement of consumer disputes. If you live in the Netherlands, you can also file a complaint with a recognised dispute body in the Netherlands.
Belgian law applies to these terms. If you live in another country of the European Union, you keep the protection of the mandatory provisions of the law of your country of residence. Disputes are brought before the court that the law designates, as a rule the court of your place of residence.
Part B. Businesses and professional customers
Part B applies to customers who order for their trade or business: architects, interior studios, developers, hospitality, offices and resellers. These customers have no right of withdrawal.
01Scope
These terms apply to every quotation, order and delivery to a professional customer, to the exclusion of the customer's purchasing conditions, even when communicated later. Deviations apply only when we accept them in writing. Resale of our pieces requires a written dealer agreement.
02Quotations and prices
Quotations are valid for 30 days. Prices are in euro, excluding VAT and excluding delivery, assembly and packaging unless stated otherwise. Project prices apply to the quantities and the schedule in the quotation; if either changes, we may revise the price.
For contract use (hospitality, hotels, offices, care) we confirm in writing per project whether a piece is suitable and which standards, such as fire classes, it meets. Without that confirmation our pieces are intended for residential use.
03Orders, changes and cancellation
An order is final after our written order confirmation. Changes are possible only in writing and as long as production has not started; additional costs are charged.
Pieces made to order cannot be cancelled once production has started. If the customer cancels nonetheless, all costs already incurred are due, with a fixed compensation of 25% of the price. There is no right of withdrawal.
04Payment and invoicing
A deposit of 50% is due at the order; the balance is payable before delivery unless a payment term has been agreed. An agreed term is 30 days from the invoice date and never more than 60 days. Invoices to Belgian VAT-registered customers are sent as structured electronic invoices through Peppol.
In case of late payment, the interest under the Belgian law of 2 August 2002 on combating late payment in commercial transactions, a fixed compensation of 40 euro for recovery costs and the reasonable additional recovery costs are due by operation of law and without notice of default. We may suspend pending deliveries until payment. Set-off by the customer is excluded without our written consent.
05Retention of title and risk
Delivered pieces remain our property until full payment of the price, the costs and any interest. Until then the customer may not resell, pledge or permanently build them in. The risk passes on delivery, even if title has not yet passed; the customer insures the pieces from that moment.
06Delivery
Delivery periods are indicative and run from the order confirmation and the receipt of the deposit. Delay gives no right to compensation or termination unless a binding period was agreed in writing and the delay is attributable to us.
Delivery takes place at the agreed address, at ground level or into the room where the access allows it; the customer provides access and a clear passage. The customer takes delivery of pieces reported ready within 30 days; after that storage costs may be charged.
07Inspection, complaints and guarantee
The customer inspects the pieces on delivery. Visible defects and discrepancies in quantity are reported in writing within 48 hours, with photographs; hidden defects within 8 days of discovery and at the latest 12 months after delivery. After those periods a complaint is no longer admissible.
We guarantee the pieces for 12 months from delivery against material and manufacturing defects under normal use. We choose between repair, replacement or a credit note. Normal wear, folds and waves inherent to soft upholstery, the natural variation of leather and wood, improper use or care, and use in a contract environment without our written confirmation are outside the guarantee.
08Liability
Our liability is limited to the price of the pieces concerned. We are not liable for indirect damage, such as loss of profit, delay of a project or damage to third parties, except in case of intent or gross negligence. The customer indemnifies us against claims of its own customers that go beyond our guarantee.
09Intellectual property and brand
Drawings, quotations, plans, photographs and texts remain the property of INICI or of designwerk AG. The customer uses them only for the project they were made for and does not present itself as a dealer of INICI or of designwerk without a written agreement.
10Force majeure
In case of force majeure, such as a production stop at the maker, a shortage of a fabric, a transport strike or government measures, our obligations are suspended for its duration, without compensation. If the force majeure lasts longer than 3 months, either party may terminate the order for the part not performed.
11Law and jurisdiction
Belgian law applies, to the exclusion of the Vienna Sales Convention. The courts of the judicial district of Antwerp have exclusive jurisdiction, without prejudice to our right to bring proceedings before the court of the customer's registered office.
